“Authorized User” means an individual expressly approved by Irene Steel and provided with valid access credentials for participation in the Irene Steel program.

All Content is the exclusive property of Irene Steel and is protected under applicable intellectual property laws, including the Colorado Uniform Trade Secrets Act (C.R.S. § 7-74-101 et seq.).

Authorized Users are granted a limited, revocable, non-transferable, and non-exclusive license to access and use the Content solely for internal Irene Steel program purposes. No other use is permitted.

The Content constitutes confidential and trade secret information. You agree to maintain its confidentiality and not disclose, share, or make it available to any unauthorized individual or entity.

You shall not, directly or indirectly:

• Copy, reproduce, download, store, or retain Content outside authorized systems 
• Distribute, transmit, or disclose Content to any third party, including subcontractors, vendors, or affiliates, unless expressly authorized in writing by Irene Steel 
• Modify, adapt, reverse engineer, or create derivative works 
• Use the Content for any purpose outside the Irene Steel program 

No rights, licenses, or ownership interests are granted except as expressly stated in these terms.

Access to and use of this Content may be monitored, logged, and audited by Irene Steel. By accessing this Content, you acknowledge that you have no expectation of privacy in connection with such access or use.

Upon termination of access, completion of your involvement, or upon request by Irene Steel, you must immediately cease use and permanently delete or destroy all copies of the Content in your possession or control.

All confidentiality, use restrictions, and enforcement obligations set forth herein shall survive termination of access or participation in the Irene Steel program.

Unauthorized use, disclosure, or retention of the Content constitutes a material breach of these terms and may result in:

• Immediate termination of access 
• Contractual liability 
• Legal action 

You acknowledge that unauthorized use or disclosure may cause irreparable harm to Irene Steel for which monetary damages would be insufficient. Irene Steel reserves the right to seek injunctive relief, damages, and recovery of attorneys’ fees and costs to the fullest extent permitted under Colorado law.

You agree to indemnify and hold harmless Irene Steel from any damages, losses, or costs arising from your unauthorized use or disclosure of the Content.

These terms shall be governed by and construed in accordance with the laws of the State of Colorado. Any legal action or proceeding shall be brought exclusively in the state or federal courts located within the State of Colorado.

These terms are in addition to, and do not replace, any existing confidentiality agreements, non-disclosure agreements, or contractual obligations between you and Irene Steel.

Irene Steel reserves the right to modify or update this Content and these terms at any time without prior notice.

If you are not an Authorized User, you are prohibited from accessing this Content and must exit immediately.
